Panorama Club CORPORATE program terms and conditions valid till 31.12.2018
Panorama Club Program CORPORATE (hereinafter "Panorama Club CORPORATE") is a frequent flyer loyalty program operated by Ukraine International Airlines (hereinafter "UIA") to reward UIA corporate clients that are Panorama Club CORPORATE members (hereinafter "Company-member") for their loyalty to UIA. Membership in Panorama Club CORPORATE is a subject to Panorama Club CORPORATE Terms and Conditions which are set out below.
1. GENERAL TERMS AND DEFINITIONS
1.1. Company-member is an economic entity (legal entity, including business associations, private entrepreneur, excluding the 1st group of unified taxpayers), a separate division of the legal entity (branch office), who is a Panorama Club CORPORATE member. Companies acting as intermediaries and/or consolidators of ticket sales, including travel agencies, cannot be registered as a Company-member.
1.2. Company’s Administrator is the responsible person authorized by the Company-member to register Company-member in Panorama Club CORPORATE and to manage of Company’s Corporate account with the full level access (balance check, rewards issuance, membership termination, etc.). Only the Company-member employee can be appointed as the Administrator, the travel agency employee can not act as Administrator. Company-member authorizes the Company’s Administrator for all the necessary actions according to the Panorama Club CORPORATE Terms and Conditions and the "UIA passengers and baggage air transportation rules and regulations" and takes full responsibility for Company’s Administrator activities within Panorama Club CORPORATE. Company’s Administrator is the only contact person of the Company-member communicating with UIA regarding Company’s membership issues.
1.3. Company’s Corporate account(hereinafter - Corporate account) is Company-member’s account in Panorama Club CORPORATE software, used by the Company-member for earning miles and issuing awards according to the Panorama Club CORPORATE Terms and Conditions. Corporate account number is used to identify the Company-member and to control the statistics of the tickets issuance by the Company-member on UIA own regular scheduled flights and UIA code-share flights (marketing seat quota on Partner Airlines flights, under PS code).
1.4. UIA reserves the right to modify (in whole or in part) Panorama Club CORPORATE Terms and Conditions, suspend or terminate Panorama Club CORPORATE at any time without prior individual notice.
1.5. Information about changes in Panorama Club CORPORATE Terms and Conditions is published on UIA website www.flyUIA.com (Panorama Club CORPORATE section). Changes and / or additions to Panorama Club CORPORATE Terms and Conditions are considered accepted if a Company-member during 2 (two) months after the information was published on UIA website www.flyUIA.com didn’t sent a written refusal of its acceptance or notification about termination of participation in Panorama Club CORPORATE. If a Company-member object the changes or additions to Panorama Club CORPORATE Terms and Conditions, its participation in Panorama Club CORPORATE is terminated automatically upon receipt by UIA a respective written objection.
1.6. During certain periods, special conditions for miles accrual or miles redemption in Panorama Club CORPORATE may apply. UIA passengers and Company-members can find this information on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
2. PROGRAM MEMBERSHIP
2.1. Panorama Club CORPORATE member may be an economic entity (legal entity, including business associations, private entrepreneur), a separate division of the legal entity (branch office) in any country which legislation does not prohibit participation in loyalty programs.
2.2. To register in Panorama Club CORPORATE Company’s Administrator should complete an Application form to enroll the Company to Panorama Club CORPORATE, which is placed on the UIA website www.flyUIA.com (Panorama Club CORPORATE section).
2.3. Completing an Application form by the Company’s Administrator means the following:
2.3.1. In accordance with legal requirements and / or statutory documents of the Company, Company’s Administrator has the right to complete an Application form and further management of the Corporate account with the full level access.
2.3.2. Full preliminary review and consent to the Panorama Club CORPORATE Terms and Conditions by Company’s Administrator and Company-member.
2.3.3. Company’s Administrator on behalf of and in the interest of the Company, confirms familiarization and acceptance of the Panorama Club CORPORATE Terms and Conditions, and informs the UIA about Company’s data (name, Company’s identification number, activity type, registration address and actual location, communication data) and the personal data of an individual (in particular: First name, Last name, patronymic, date of birth, gender, communication data, and other reserved contacts) thus empowers and gives UIA his voluntary and unconditional consent to the processing (storage and distribution) of their personal data on the terms set out in the Consent to personal data processing, and confirmed that was informed about the purposes, members whom personal data is transferred and the rights that are providing according to the Law of Ukraine “On Personal Data Protection”. Company’s Administrator do not demand to notify about the disclosing (transferring) of personal data of an individual and / or Company’s data to the third parties including non-residents, with the purpose mentioned in Consent to personal data processing, including the cases of personal data transferring to the new persons (contracting parties) due to the fact that UIA enters into new agreements with them, according to the Law of Ukraine “On Personal Data Protection”.
2.3.4. Using by the Company's Administrator unique email address that has not been used during the registration of Panorama Club and Panorama Club CORPORATE members when completing the Application form to enroll the Company to Panorama Club CORPORATE.
2.3.5. Company-member is not an intermediary and/or consolidator of ticket sales and is not a travel agency.
2.3.6. Company-member is registered in a country whose legislation does not forbid participation in loyalty programs.
2.3.7. The absence of prohibition of participation in loyalty programs in Company-members internal policy and provisions.
2.4. After receiving an Application form, UIA within 5 (five) working days makes a decision about the Company’s enrollment to the Panorama Club CORPORATE or refuse the enrollment and informs the Company’s Administrator by e-mail stated in the Application form.
2.5. UIA reserves the right to refuse the membership, terminate or suspend further membership in Panorama Club CORPORATE:
2.5.1. at the UIAdiscretion regarding to the terms of the existing UIA bilateral or multilateral agreements with the Company;
2.5.2. in case of granting to the Company special fares or discount on UIA flights;
2.5.3. at UIA discretion without any explanation;
2.5.4. in case of detection the activity of the Company as an intermediary and/or a consolidator of the ticket sales or travel agency;
2.5.5. in case of disagreement or violation by Company-member Panorama Club CORPORATE Terms and Conditions;
2.5.6. in case of illegal or fraudulent practices of the Company-member;
2.5.7. in case of the termination of Panorama Club CORPORATE;
2.5.8. in case of the termination of Company-member activity.
2.6. Company-member may terminate membership in Panorama Club CORPORATE by sending to UIA office (to the address: Panorama Club, 201-203 Kharkivske rd., Kyiv, 02121, Ukraine) an application in writing to terminate membership. This application must contain a Corporate account number and Company-member’s name, date of membership termination, stamp and signature of the authorized person.
2.7. In case there is no movement on the Company-member’s account for more than 36 (thirty six) months, Panorama Club CORPORATE membership will be terminated.
2.8. Each Company-member may have only one Corporate account.
2.9. In case of the membership termination, all miles accumulated by the Company-member on the corporate account are canceled.
2.10. Company-member must timely inform UIA on any change of Company-member registration data, as well as on change of Company’s Administrator (for example, in the case of his dismissal). To change the Company’s Administrator or change his/ her data, the request should be sent from the current contact email address or, in case of dismissal of the Company’s Administrator of the Company and the invalidity of the contact e-mail address, to provide a scanned copy of the statement with Company’s details, Company stamp, new Company’s Administrator data and permition of granting this person access to Corporate account management on behalf of Company-member.
2.11. Enrollment and membership in Panorama Club CORPORATE are free of charge.
3. CORPORATE ACCOUNT NUMBER. PASSWORD
3.1. In case of the decision about Company-member enrollment, UIA makes the registration in accordance with the data provided in the Application form and send to the Company’s Administrator confirmation of the enrollment to the Panorama Club CORPORATE with the following information:
3.1.1. Corporate account number and terms of its usage.
3.1.2. Company-members personal identification password to access the Company Web Account on UIA website.
3.1.3. Accrual scheme.
3.2. Panorama Club CORPORATE plastic / digital cards are not provided and are not issued.
3.3. Company’s Administrator is solely responsible for privacy, confidentiality and preservation of the Corporate account number and Company-member’s password and impossibility to access these data to unlawful third parties. In case of a breach of confidentiality of the Corporate account number and Company-member’s password, Company-member is solely responsible for any actions with Corporate account, including, without limitation, any transactions on the account and violation of Panorama Club CORPORATE Terms and Conditions. In case of a breach of confidentiality of Corporate account number and Company-member’s password, Company-member must immediately contact UIA in order to prevent illegitimate access to the Corporate account of third parties.
4. MILLEAGE ACCRUAL
4.1. Mile is the unit of Panorama Club CORPORATE awards. All miles credited to the Corporate account are bonus miles.
4.2. Miles are credited for UIA own regular scheduled flights and code-share flights (marketing seat quota on Partner Airlines flights, under PS code.
4.3. Miles are not credited for:
- partner airlines own regular flights;
- UIA’s and partner charter flights, including charter seat quota on regular flights;
- award and other service flights;
- Low-cost fare flights;
- using services of UIA and Non-aviation Panorama Club Partners.
4.4. Number of miles credited to the Corporate account is calculated on the basis of the flight segments cost (tariff part and fuel surcharge, not including airport taxes and other surcharges) purchased by the Company-member using Corporate account number and actually used in the reporting month. Total amount (tariff part and fuel surcharge) spent by the Company-member on actually used in the reporting month flight segments in US dollars are converted into the appropriate number of the bonus miles defined by the Panorama Club CORPORATE membership conditions.
4.5. Mileage accrual is made to the Corporate account automatically in case Corporate account number was indicated in appropriate field of the ticket by an agent when booking the ticket or indicated in the field “Corporate card number” when booking the ticket on UIA website flyUIA.com. It is impossible to credit miles retroactively for the tickets booked and issued without indicated Corporate account numbers and/or with violation of the terms of its usage.
4.6. Miles are credited to the Corporate account monthly until 15th (fifteen) calendar day of the month following the reporting month.
4.7. In case of the incorrect transactions on the Corporate account (wrong crediting / redemption of miles, etc.), UIA reserves the right to make necessary changes.
4.8. Company-member can get information about flight segments; the amount of tariff and fuel charge on each flight segment purchased by the Company-member and were actually used by the Company-member in the reporting month (using the Corporate account number) by sending an appropriate request from the Corporate account.
4.9. Miles validity.
4.9.1. Validity of miles accrued on the Corporate account is 36 (thirty six) months from the last calendar day of the month, according to the flight activity results of which miles were accrued.
4.9.2. Miles that were not redeemed within 36 (thirty six) months, automatically expire on the last calendar day of the current quarter.
4.9.3. The amount of miles that will expire over the next 5 (five) quarters is indicated in the Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
4.9.4. Company-member must use miles that will expire before the date of automatic expiration. Miles that were expired from Corporate account are non-refundable.
4.10. Miles transfer, miles exchange.
4.10.1. Each Company-member has its own Corporate account to register the accrued miles. Miles from the one Corporate account cannot be transferred to the other Corporate account, combined with the miles on the other accounts, or transformed into miles of the other loyalty program.
4.10.2. Miles cannot be converted into money equivalent.
4.10.3. Sale, exchange, auction or any other way of transferring miles to the third parties is prohibited. Negotiations about miles purchase or sale, miles purchase from Company-members or the third parties, as well as illegitimate usage of miles are prohibited.
4.11. Miles purchase.
4.11.1. Company-member can buy miles for Panorama Club CORPORATE awards.
4.11.2. Conditions if miles purchase:
- Minimum number of miles to buy – 1 000 miles.
- Maximum number of miles to buy (during the calendar year) – 50000 miles.
- Multiplicity of miles to buy – 100 miles.
- Cost of 1000 miles to buy – 50 USD.
4.11.3. Funds for the purchase of miles are not refundable.
5. MILLEAGE REDEMPTION
5.1. Opportunities of miles usage..
5.1.1. Company-member can use miles for Panorama Club CORPORATE awards: Award tickets on UIA own regular flights and Panorama Club Partner Airlines flights; Award Upgrades on UIA own regular flights; tickets discounts on UIA own regular flights and UIA code-share flights (under PS code).
5.1.2. Actual information about opportunities of Panorama Club CORPORATE miles usage, amount of miles which are needed for the award placed on UIA website www.flyUIA.com (Panorama Club CORPORATE section). Company-member can also use Miles Redemption Calculator on UIA website www.flyUIA.com (Panorama Club CORPORATE section) to know the amount of miles that is needed for the Award Ticket or Award Upgrade on UIA own regular flights.
5.1.3. UIA reserves the right to determine the number of miles required for Panorama Club CORPORATE awards, issuing conditions, as well as to make changes without prior notice, including changes to the list and cost of available awards, cancellation of certain types of awards, etc.
5.1.4. Each Company-member has its own Corporate account to consider accrued miles. Panorama Club CORPORATE award can be issued by the Company-member from their own Corporate account for any other third party as an award transfer in case a Corporate-member has enough miles for the award on the account.
5.1.5. In case of incorrect redemption of miles UIA reserves the right to make changes in the Corporate account balance without prior notice.
5.1.6. Some restrictions for awards issuing may appear depending on date, season, destination and under circumstances. Company-members should provide alternate travel dates when ordering Panorama Club CORPORATE awards.
5.1.7. Sale, exchange, auction or any other way of transferring Panorama Club CORPORATE awards to the third parties is prohibited. Negotiations about Panorama Club CORPORATE awards purchase or sale, Panorama Club CORPORATE awards purchase from Company-members or the third parties, as well as illegitimate usage of Panorama Club CORPORATE awards are prohibited.
5.1.8. Actual information about other temporary or permanent ways of miles usage are placed on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
5.2.1. Award Tickets are issued on UIA own regular flights and Panorama Club Partner Airlines flights. Award Tickets are not issued on UIA and Panorama Club Partner Airlines charter and codeshare flights.
5.2.2. To book an Award Ticket a Company-member should complete an application to get an Award Ticket in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section) or make a request through dedicated telephone line for UIA corporate clients.
5.2.3. Award Ticket is valid for 1 (one) year after the date of issue.
5.2.4. Members are responsible for payment of any government, airport and any other taxes applicable at the time of Award Ticket issuance.

5.2.6. Round-trip Award Ticket can consist of 4 (four) flight segments maximum.
5.2.7. One-way Award Ticket can consist of 2 (two) flight segments maximum.
5.2.8. One-way Award Ticket cannot be issued on Partner’s Airlines below: Austrian Airlines, KLM, Air France.
5.2.9. Award Ticket cannot be issued with an open date.
5.2.10. Miles for the Award Ticket are redeemed at the moment of the award issuing.
5.2.11. One-way Award Ticket is available at 60% of Round-trip Award Ticket mileage cost.
5.2.12. Amount of miles needed for the Award Ticket for a child (aged between 2 and 11 years inclusive):
- On UIA flights and TAP Portugal flights – is 50% of the amount of miles needed for the Award Ticket for an adult.
- On other Partner’s Airlines –is 100% of the amount of miles needed for the Award Ticket for an adult.
Amount of miles needed for the Award Ticket for the Unaccompanied Minor is the same as for an adult.
5.2.13. Amount of miles needed for the Award Ticket for an infant (aged up to 2 years old):
- On UIA flights - is 10% of the amount of miles needed for the Award Ticket for an adult.
- On Partner’s Airlines – is 100% of the amount of miles needed for the Award Ticket for an adult.
Award Ticket issuance for an infant and the associated adult in booking is provided from one Member’s account and in the same booking class. Combination of commercial and award booking classes, as well as different service classes is not available.
5.2.14. Award Ticket issuing from the child account (aged between 2 and 11 years inclusive) with the award transfer is permitted only for the child (aged between 2 and 11 years inclusive). Award transfer to adult (aged 12 years old and above) or infant (aged up to 2 years old) are not available.
5.2.15. In case of Award Ticket rerouting airport and any other taxes difference must be paid by the Member.
5.2.16. Award Ticket cannot be combined with Award Upgrade.
5.2.17. Award Ticket issuing is made in the same class of service on the whole route. Combining of different classes of service are not available.
5.2.18. In the Award Ticket UIA flights can be combined with the flights of only one of Panorama Club Partner Airlines. In this case mileage cost of such Award Ticket is calculated as two separate Award Tickets on the basis of the relevant mileage cost of Award Tickets on UIA flights and Panorama Club Partner Airline flights. In the Award Ticket UIA flights cannot be combined with the flights of two or more Panorama Club Partner Airlines as well as flights of two or more Panorama Club Partner Airlines cannot be combined with each other.
5.2.19. In round-trip Award Ticket one stopover(up to 7 days)is permitted on either an outbound or inbound flight. Stopovers are not allowed on a one-way trip. If passenger spends less than 24 hours at a transit point, it is not considered as a stopover.
5.2.20. Award Ticket can be issued with an Open jaw route: point of destination can be different from the point of departure, but must be within the same Award Zone. If point of destination and point of departure are in the different award zones, then mileage cost of such route will be considered as two separate one-way Award Tickets.
5.2.21. One Award Ticket shall be issued only from one Member’s account.
5.2.22. Date / route change in Award Ticket on UIA scheduled flights under the PS code can be made according to the following rule:
- until the Award Ticket is not issued – without penalty;
- after an Award Ticket was issued, when travelling in Economy Class – with a 40 USD penalty;
- in case a penalty collection for a child (aged between 2 and 11 years inclusive) - 50% discount off the fee apply; for an infant (aged up to 2 years old) - 90% discount off the fee apply;
- after an Award Ticket was issued, when travelling in Business Class – without penalty.
5.2.23. If a prior cancellation of an Award Ticket was not made and in case of a no-show for the flight, a penalty 25 USD applies.
5.2.24. Commercial ticket bookings cannot be transferred into Award Ticket bookings.
5.3.1. Award Upgrade can be issued only on UIA own regular flights. Award Upgrades are not issued on Panorama Club Partner Airlines, charter and codeshare UIA flights.
5.3.2. Award Upgrade can be booked no later, than 12 (twelve) hours before departure.
5.3.3. To book an Award Upgrade a Company-member should complete an application form in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section) or make a request through dedicated telephone line for UIA corporate clients.
5.3.4. Award Upgrade is arranged separately for each flight segment (for example: Kyiv-London).

5.3.6. Award Upgrade for 2 (two) or more flight segments, issued in one ticket shall be issued from one Corporate account.
5.3.7. Conditions of original ticket apply in case of changes or refund of the ticket with the Award Upgrade.
5.3.8. Booking classes Т, U, X, I are not eligible for upgrade.
5.3.9. When ordering an upgrade on London-Kyiv, Paris-Kyiv and Nice-Kyiv UIA flights, passenger has to pay the difference between an airport taxes for economy and business class.
5.3.10. If an Award Upgrade is issued via UIA representative offices and agencies in Ukraine and abroad the additional service charge may apply.
5.3.11. Award Upgrade can be made only if the ticket is issued on UIA ticket blank (UIA ticket blank number is 566).
5.3.12. In case of rerouting, airport and other taxes difference must be paid by the Company-member. On some UIA routes when booking an Award Upgrade, Company-member has to pay the difference between an airport taxes for Economy and Business class.
5.3.13. Miles for the Award Upgrade are redeemed from the Corporate account at the moment of issuing the award.
5.3.14. Amount of miles needed for the Award Upgrade for a child (aged between 2 and 11 years inclusive) is 100% of amount of miles needed for the Award Upgrade for an adult.
5.3.15. Amount of miles needed for the Award Upgrade for an infant (aged up to 2 years old) is 20% of the amount of miles needed for the Award Upgrade for an adult.Award Upgrade issuance for an infant and the associated adult in booking is provided from one Member’s accoun in the same booking class. Combination of commercial and award booking classes, as well as different service classes is not available.
5.3.16. Award Upgrade cannot be combined with Award Ticket.
5.4.1. Miles and Cash payment (discount for miles) applies to all UIA own regular flights (except for business class on long-haul flights and business class on Kyiv-Nice / Nice-Kyiv flights), on code-share flights (under the PS code), on regular seat quota on UIA charter flights, including transit UIA flights.
5.4.2. Miles and Cash issuance conditions:
- Minimum number of miles to exchange – 2000 miles.
- Maximum number of miles to exchange (per transaction) – 125000 miles.
- Can be pad for miles no more than 50% of the fare.
- Cost of 1 000 miles to exchange – 10 USD.
5.4.3. Discount for miles request should be made no later, than 12 (twelve) hours before flight departure.
5.4.4. To get a discount for miles a Company-member should complete an application form in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section) or make a request through dedicated telephone line for UIA corporate clients.
5.4.5. Discount for miles may only be used once for return or one-way ticket.
5.4.6. Discount for miles applies to the published fare available in the system at the time of booking. Discount does not apply to the airport and other taxes, which are fully paid by the Company-member. The airport and other taxes level corresponds to the level applied via UIA Customer Support Center and ticket desks.
5.4.7. Service tax for ticket issuance on international routes is 5 USD, on domestic routes – is not applicable.
5.4.8. In case the ticket is issued with the discount for miles, any other discounts (corporate, child, “Personal Offer”, etc.) cannot be applied to the same ticket.
5.4.9. Discount for miles cannot be combined with Award Upgrade.
5.4.10. All changes of the ticket issued with a discount for miles are made in accordance with the fare conditions to which discount have been applied.
5.5. Miles refund.
5.5.1. Miles for the unused Award Ticket are refunded without penalty.
5.5.2. Miles for the unused Award Ticket can be refunded with a 40 USD penalty. In case a penalty collection for a child (aged between 2 and 11 years inclusive) - 50% discount on the fee apply; for an infant (aged up to 2 years old) - 90% discount on the fee apply.
5.5.3. Miles for the partly used Award Ticket are nonrefundable.
5.5.4. Miles for the unused ticket issued with the discount for miles are refunded without penalty:
- if the ticket is refundable according to fare conditions, miles are redeposited in full amount, while the amount paid by money is refunded in accordance with the original fare conditions;
- if the ticket is non-refundable, miles are not redeposited.
5.5.5. Miles for the partly used ticket issued with the discount for miles are nonrefundable. Ticket is refunded in accordance with the fare conditions indicated in the ticket to which discount have been applied.
5.5.6. Miles for the unused Award Upgrade are refunded without penalty. Ticket is refunded in accordance with the original fare conditions.
5.5.7. In case of flight delay or cancellation due to commercial or unforeseen circumstances miles for Award Ticket, ticket issued with an Award Upgrade and ticket issued with the discount for miles are refunded without penalty. Full / partial refund of miles is made if a Member denied from alternative routes of transportation.
5.5.8. While booking UIA additional services for miles, miles can only be refunded in accordance with appropriate additional services’s refund terms and conditions.
5.5.9. When making a refund of miles to the Corporate account, the miles which expired in the previous quarterly periods will be automatically redeemed at the time of the miles refund transaction.
6. AWARD TRANSFER
6.1. Company-member may issue any Panorama Club CORPORATE award for miles accumulated on Corporate account to any person by making an award transfer.
6.2. Miles and already issued Panorama Club CORPORATE awards cannot be transferred to other person.
6.3. In order to transfer award, Company-member is needed to do the following actions in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section):
6.3.1. To indicate persons to whom Panorama Club CORPORATE awards planned to be transferred to “Nominee list for award transfer". Adding by the Company-member these data to the Nominee list are confirmed Company-member’s consent to the transfer of awards from Corporate account to such persons. Children under 2 (two) years old and entities cannot be indicated to the "Nominee list for award transfer". Nominee list can include up to 100 (one hundred) persons, with the possibility of adding and removing person from the list.
6.3.2. To fill an Award flight or Award service request from Company Web Account or make a request through dedicated telephone line for UIA corporate clients.
6.4. Panorama ClubCORPORATE Terms and Conditions also apply to the person to whom the award is transferred; it is the Company-member’s responsibility to ensure that the person receiving the transferred award is aware of Panorama Club CORPORATE Terms and Conditions.
6.5. UIA is not responsible for fraud or for any other illegitimate usage of Panorama Club CORPORATE awards.
7. INSPECTIONS
7.1. UIA reserves the right to inspect validity and eligibility of a Company-member membership in the Panorama Club CORPORATE at any time without prior notice. Inspections are intended to provide UIA with the guarantees of the Company-members compliance with the Panorama Club CORPORATE Terms and Conditions and to identify any possible fraud.
7.2. On UIA request to verification the eligibility of miles accumulation and redemption transactions on a Corporate account, Company’s Administrator must provide for UIA inspection at a reasonable time documents, confirming Company-members compliance with the Panorama Club CORPORATE Terms and Conditions. Company-members refusal to provide documents automatically lead to suspension or termination of the membership in the Panorama Club CORPORATE.
7.3. If any inconsistencies and/or violations of the Panorama Club CORPORATE Terms and Conditions are detected during inspection, UIA reserves the right unilaterally to suspend or terminate Company’s membership in the Panorama Club CORPORATE.
7.4. UIA reserves the right to terminate Company’s membership in the Panorama Club CORPORATE, cancel all previously accrued on Corporate account miles and to demand compensation for the awards used by the Company-member in case of detection that the Company-member, Company’s Administrator or any other person received any benefits from the Panorama Club CORPORATE purposely doing any illegal action or violate Panorama Club CORPORATE Terms and Conditions, including, but not limited with fraud award issuing or sale or any other abuse.
8. LIABILITY LIMITATION AND LEGISLATION APPLIED
8.1. UIA is not responsible to the Company-member, Company’s Administrator or any other person for any loss or damage, direct or indirect:
8.1.1. due to the Panorama Club CORPORATE termination;
8.1.2. due to the Panorama Club CORPORATE Terms and Conditions changes;
8.1.3. due to unauthorized access of third parties to the Corporate account through Company-members violation of confidentiality of Corporate account number and password.
8.2. UIA is not liable for unauthorized enrollment and/ or use of the Panorama Club CORPORATE and/or fraud acts committed by the Company Administrator. If any violations arise Company-member must immediately contact UIA to prevent undue use of Corporate account. Company-member is liable for any loss or damage, direct or indirect resulted of any possible misuse of Corporate account.
8.3. Panorama Club CORPORATE activity is subject to Ukrainian law. All disputes should be considered through bilateral negotiations or in the court at the place of UIA registration. Lawsuit against Company-member can be taken at its general place of jurisdiction or at any other place at which a legal responsibility exists.
