Panorama Club CORPORATE program terms and conditions
Panorama Club Program CORPORATE (hereinafter "Panorama Club CORPORATE") is a frequent flyer loyalty program of Ukraine International Airlines (hereinafter "UIA") for UIA loyal corporate clients that are Panorama Club CORPORATE members (hereinafter "Company-member") and use UIA services . Membership in Panorama Club CORPORATE is a subject to Panorama Club CORPORATE Terms and Conditions which are set out below.
1. GENERAL TERMS AND DEFINITIONS
1.1. Company-member is an economic entity (legal entity, including business associations, private entrepreneur), a separate division of the legal entity (branch office), who is a Panorama Club CORPORATE member. Companies acting as intermediaries and/or consolidators of ticket sales, including travel agencies, cannot be registered as a Company-member.
1.2. Company’s Administrator is the responsible person authorized by the Company-member to register Company-member in Panorama Club CORPORATE and to manage of Company’s Corporate account with the full level access (balance check, rewards issuance, membership termination, etc.). Only the Company-member employee can be appointed as the Administrator, the travel agency employee can not act as Administrator. Company-member authorizes the Company’s Administrator for all the necessary actions according to the Panorama Club CORPORATE Terms and Conditions and the "UIA passengers and baggage air transportation rules and regulations" and takes full responsibility for Company’s Administrator activities within Panorama Club CORPORATE. Company’s Administrator is the only contact person of the Company-member communicating with UIA regarding Company’s membership issues.
1.3. Company’s Corporate account (hereinafter - Corporate account) is Company-member’s account in Panorama Club CORPORATE software, used by the Company-member for earning miles and issuing rewards according to the Panorama Club CORPORATE Terms and Conditions. Corporate account number is used to identify the Company-member and to account the statistics of the mileage accrual and redemption transactions.
1.4. UIA reserves the right to modify (in whole or in part) Panorama Club CORPORATE Terms and Conditions, suspend or terminate Panorama Club CORPORATE at any time without prior individual notice.
1.5. Information about changes and amendments to Panorama Club CORPORATE Terms and Conditions is published on UIA website www.flyUIA.com (Panorama Club CORPORATE section). Changes and / or amendments to Panorama Club CORPORATE Terms and Conditions are considered accepted if a Company-member during 2 (two) months after the information was published on UIA website www.flyUIA.com didn’t sent a written refusal to accept them. In the case of such a written refusal Company participation in Panorama Club CORPORATE is terminated automatically.
1.6. During certain periods, special conditions for miles accrual or miles redemption in Panorama Club CORPORATE may apply. UIA passengers and Company-members can find this information on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
2. PROGRAM MEMBERSHIP
2.1. Panorama Club CORPORATE member may be an economic entity (legal entity, including business associations, private entrepreneur), a separate division of the legal entity (branch office) in any country which legislation does not prohibit participation in loyalty programs.
2.2. To register in Panorama Club CORPORATE Company’s Administrator should complete an Application form to enroll the Company to Panorama Club CORPORATE, which is placed on the UIA website www.flyUIA.com (Panorama Club CORPORATE section).
2.3. Completing an Application form by the Company’s Administrator means the following:
2.3.1. In accordance with legal requirements and / or statutory documents of the Company, Company’s Administrator has the right to complete an Application form and further management of the Corporate account with the full level access.
2.3.2. Full preliminary review and consent to the Panorama Club CORPORATE Terms and Conditions by Company’s Administrator and Company-member.
2.3.3. Company’s Administrator by authorization on behalf and in the interest of the Company have read and accepted the conditions of the Panorama Club CORPORATE Program Terms and Conditions and UIA’s Privacy Policy that placed on www.flyUIA.com and confirm the validity of all personal data herein and grant consent to the processing of this personal data for the purpose of Panorama Club CORPORATE Program membership and receiving from UIA the information (marketing materials) with current special offers for airline travel and other services, including e-News, joint promotional campaigns of UIA and its partners, quality of services surveys in compliance with UIA’s Privacy Policy. Commercial subscription can be withdrawn at any time.
2.3.4. Using by the Company's Administrator unique email address and mobile phone that have not been used during the registration of Panorama Club and Panorama Club CORPORATE members when completing the Application form to enroll the Company to Panorama Club CORPORATE.
2.3.5. Company-member is not an intermediary and/or consolidator of ticket sales and is not a travel agency.
2.3.6. Company-member is registered in a country whose legislation does not forbid participation in loyalty programs.
2.3.7. The absence of prohibition of participation in loyalty programs in Company-members internal policy and provisions.
2.4. After receiving an Application form, UIA within 5 (five) working days makes a decision about the Company’s enrollment to the Panorama Club CORPORATE or refuse the enrollment and informs the Company’s Administrator by e-mail stated in the Application form.
2.5. UIA reserves the right to refuse the membership, terminate or suspend further membership in Panorama Club CORPORATE:
2.5.1. at the UIA discretion regarding to the terms of the existing UIA bilateral or multilateral agreements with the Company;
2.5.2. in case of granting to the Company special fares or discount on UIA flights;
2.5.3. at UIA discretion without any explanation;
2.5.4. in case of detection the activity of the Company as an intermediary and/or a consolidator of the ticket sales or travel agency;
2.5.5. in case of disagreement or violation by Company-member Panorama Club CORPORATE Terms and Conditions;
2.5.6. in case of illegal or fraudulent practices of the Company-member;
2.5.7. in case of the termination of Panorama Club CORPORATE;
2.5.8. in case of liquidation, termination of activity or reorganization of the Company-member.
2.6. Company-member may terminate membership in Panorama Club CORPORATE by sending to UIA office (to the address: Panorama Club, 201-203 Kharkivske rd., Kyiv, 02121, Ukraine) an application in writing to terminate membership. This application must contain a Corporate account number and Company-member’s name, date of membership termination, stamp and signature of the authorized person.
2.7. Each Company-member may have only one Corporate account.
2.8. In case of the membership termination, all miles accumulated by the Company-member on the corporate account are canceled and not restored.
2.9. Company-member must timely inform UIA on any change of Company-member registration data, as well as on change of Company’s Administrator (for example, in the case of his dismissal). To change the Company’s Administrator or change his/ her data, the request should be sent from the current contact email address or, in case of dismissal of the Company’s Administrator of the Company and the invalidity of the contact e-mail address, to provide a scanned copy of the statement with Company’s details, Company stamp, new Company’s Administrator data and permission of granting this person access to Corporate account management on behalf of Company-member.
2.10. Enrollment and membership in Panorama Club CORPORATE are free of charge.
2.11. UIA reserves the right to inform Company-members about Panorama Club CORPORATE Terms and Conditions changes; opportunities to earn and use miles; about the status of requests sent by Company-members to the Panorama Club, and also send congratulations to Company-members on holidays to the email and / or telephone specified in the Company-member's profile.
3. CORPORATE ACCOUNT NUMBER. PASSWORD
3.1. In case of the decision about Company-member enrollment, UIA makes the registration in accordance with the data provided in the Application form and send to the Company’s Administrator confirmation of the enrollment to the Panorama Club CORPORATE with the following information:
3.1.1. Corporate account number and terms of its usage.
3.1.2. Company-members personal identification password to access the Company Web Account on UIA website.
3.1.3. Accrual scheme.
3.2. Panorama Club CORPORATE plastic / digital cards are not provided and are not issued.
3.3. Company’s Administrator is solely responsible for privacy, confidentiality and preservation of the Corporate account number and Company-member’s password and impossibility illegitimate access to these data by third parties. In case of a breach of confidentiality of the Corporate account number and Company-member’s password, Company-member is solely responsible for any actions with Corporate account, including, without limitation, any transactions on the account and violation of Panorama Club CORPORATE Terms and Conditions. In case of a breach of confidentiality of Corporate account number and Company-member’s password, Company-member must immediately contact UIA in order to prevent illegitimate access to the Corporate account of third parties.
4. MILLEAGE ACCRUAL
4.1. Mile is the unit of Panorama Club CORPORATE rewards.
4.2. Miles are credited for the flights that are performed by Company’s – member employees on UIA own regular scheduled flights and UIA code-share flights (jointly-operated by two and more companies) on condition that the flight is booked under the PS code.
4.3. Miles are not credited for:
- UIA charter flights and on charter seat quota on regular UIA flights;
- UIA own regular scheduled flights and UIA code-share flights in case ticket is fully or partially paid by miles;
- unused not by UIA fault or refunded tickets.
4.4. Amount of miles credited to the Corporate account for the flight is calculated based on the cost of the fare part of the flight segments (airport and other charges are not included) purchased by the Company-member using Corporate account number and actually used in the reporting month and is 5 miles for 1 USD or its equivalent in another currency.
4.5. Mileage accrual is made to the Corporate account automatically in case Corporate account number was indicated in appropriate field of the ticket by an agent when booking the ticket or indicated in the field “Corporate card number” when booking the ticket on UIA website flyUIA.com. It is impossible to credit miles retroactively for the tickets booked and issued without indicated Corporate account numbers and/or with violation of the terms of its usage.
4.6. Miles are credited to the Corporate account monthly until 15th (fifteen) calendar day of the month following the reporting month.
4.7. In case of ticket reissue, miles are credited according to the information indicated in the reissued ticket, taking into account the difference between the commercial exchange rate of the issued ticked and NBU exchange rate of the reissued ticket, in accordance with the accounting rules.
4.8. In case of the incorrect transactions on the Corporate account (wrong crediting / redemption of miles, etc.), UIA reserves the right to make necessary changes.
4.9. Information on Corporate account is available in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section), providing to a Company-member while contacting Panorama Club, UIA Customer Support Center, UIA ticket offices, UIA representative offices abroad, and also provided by UIA in the periodic e-mailing.
4.10. Company-member can get information about flight segments and the amount of tariff on each flight segment purchased by the Company-member and were actually used by the Company-member in the reporting month (using the Corporate account number) by sending an appropriate request from the Company Web Account.
4.11. Miles validity.
4.11.1. Validity of miles accrued on the Corporate account is 36 (thirty six) months from the last calendar day of the month, according to the flight activity results of which miles were accrued.
4.11.2. Miles that were not redeemed within 36 (thirty six) months, automatically expire on the last calendar day of the current quarter.
4.11.3. The amount of miles that will expire over the next 5 (five) quarters is indicated in the Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
4.11.4. Company-member must use miles that will expire before the date of automatic expiration. Miles that were expired from Corporate account are non-refundable.
4.12. Miles transfer, miles exchange.
4.12.1. Each Company-member has its own Corporate account to register the accrued miles. Miles from the one Corporate account cannot be transferred to the any other Panorama Club or Panorama Club CORPORATE, combined with the miles on the other accounts, or transformed into miles of the other loyalty program.
4.12.2. Miles cannot be converted into money equivalent.
4.12.3. Sale, exchange, auction or any other way of transferring miles to the third parties is prohibited. Negotiations about miles purchase or sale, miles purchase from Company-members or the third parties, as well as illegitimate usage of miles are prohibited.
5. MILLEAGE REDEMPTION
5.1. Air ticket payment by miles.
5.1.1. Company-members has the opportunity to use miles for full or partial payment by miles of the fare part of the ticket (from 0% to 100%) on UIA own regular scheduled flights and on UIA code-share flights (jointly-operated by two and more companies) on condition that the flight is booked under the PS code. Airport and other fees are not paid by miles.
5.1.2. The use of miles is performed at a ratio of 100 miles to pay for each 1 USD or its equivalent in another currency of the fare part of the ticket. The minimum number of miles to use is 100 miles, the multiplicity is 100.
5.1.3. To pay for the air ticket by miles, Company-member should fill out a Request form in the Company Web Account on the UIA website www.flyUIA.com (Panorama Club CORPORATE section) or make a request through dedicated telephone line for UIA corporate clients.
5.1.4. Payment by miles applies to the fare available in the system at the time of booking. Payment by miles does not apply to the state, airport and other taxes, which are fully paid by the Company-member. The airport and other taxes level corresponds to the level applied via UIA Customer Support Center and UIA cash desks. The amount of service charge for issuing an air ticket with partial or full payment by miles on international destinations is 5 USD per air ticket, on domestic destinations – not applied.
5.1.5. Issuing of one air ticket with payment by miles is available only from one Corporate account.
5.1.6. Discounts for special categories of passengers (infants, children up to 12 years old, etc.) are applied for air tickets with payment by miles, in accordance with air ticket fare rules applied.
5.1.7. Changes of the air ticket with payment by miles are processed in accordance with the air ticket fare rules applied.
5.1.8. Issuance of the air ticket with payment by miles for an infant and the associated adult in booking is processed from the same Corporate account only.
5.1.9. The actual information about the opportunities and conditions of Panorama Club CORPORATE miles using is available on the UIA website www.flyUIA.com (Panorama Club CORPORATE section).
5.1.10. UIA reserves the right to define the ratio of the miles usage, the conditions of issuance, as well as to make any changes, including changing the list of miles usage options without individual prior notice.
5.1.11. Each Company-member has a Corporate account / profile to account collected and used miles. Panorama Club CORPORATE reward can be issued from the Corporate account for any other third person as an reward transfer.
5.1.12. In case of incorrect miles redemption UIA reserves the right to proceed with corresponding changes to the Corporate account balance without prior notice.
5.1.13. Reward booking and issuing are processed via Panorama Club and via UIA Customer Support Center (dedicated telephone line for UIA corporate clients only).
5.1.14. Sale, exchange, auction or any other way of transferring Panorama Club CORPORATE rewards to the third parties are prohibited. Negotiations about Panorama Club CORPORATE rewards purchase or sale, Panorama Club CORPORATE rewards purchase from Members or the third parties, as well as illegitimate usage of Panorama Club CORPORATE rewards are prohibited.
5.1.15. Actual information about another temporary or permanent ways of miles usage are placed on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
5.2. Additional services payment by miles
5.2.1. Company-members have an opportunity to use miles for full payment by miles of additional services on UIA own regular scheduled flights. The use of miles is performed at a ratio of 100 miles to pay for each 1 USD of the additional service cost.
5.2.2. To pay for the additional service by miles, Company-member should fill out a Request form in the Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
5.2.3. Actual information about another temporary or permanent ways of miles usage are placed on UIA website www.flyUIA.com (Panorama Club CORPORATE section).
5.3. Miles Refund
5.3.1. Miles refund for an unused / partly used on Company-member initiative air ticket that was issued with a full or partial payment by miles is processed in accordance with the air ticket fare rules applied.
5.3.2. In case of flight delay or cancellation by the UIA initiative due to commercial or unforeseen circumstances, miles for air ticket issued with payment by miles are refunded without penalty. Full / partial miles refund is processed if a passenger refused from alternative routes of transportation offered by UIA.
5.3.3. While booking UIA additional services for miles, miles can only be refunded in accordance with appropriate additional services refund terms and conditions.
5.3.4. In case of miles refund to the Corporate account, miles, which were eligible for expiration in the previous quarterly periods, are automatically redeemed at the time of the of miles refund transaction and cannot be restored.
6. REWARD TRANSFER
6.1. Company-member may issue any Panorama Club CORPORATE reward for miles accumulated on Corporate account to any person by making a reward transfer.
6.2. Miles and already issued Panorama Club CORPORATE rewards cannot be transferred to other person.
6.3. In order to transfer reward, Company-member should proceed with the following actions in Company Web Account on UIA website www.flyUIA.com (Panorama Club CORPORATE section):
6.3.1.To indicate persons to whom Panorama Club CORPORATE rewards are planned to be transferred in the “Nominee list for reward transfer" section. Adding by the Company-member these data to the Nominee list serves as a confirmation of Company-member’s consent to the rewards transfer from Corporate account to these persons. Entities cannot be indicated as a part of "Nominee list for reward transfer". Nominee list can include up to 10 (ten) persons, with the possibility of adding and removing person from the list.
6.3.2. To fill out a Reward flight request from Company Web Account or make a request through dedicated telephone line for UIA corporate clients.
6.4. Panorama Club CORPORATE Terms and Conditions apply also to the person to whom the reward is transferred to; it is the Company-member’s responsibility to ensure that the person receiving the transferred reward is aware of Panorama Club CORPORATE Terms and Conditions.
6.5. UIA is not responsible for fraud or for any other illegitimate usage of Panorama Club CORPORATE rewards.
7. INSPECTIONS
7.1. UIA reserves the right to inspect validity and eligibility of a Company-member membership in the Panorama Club CORPORATE at any time without prior notice. Inspections are intended to provide UIA with the guarantees of the Company-members compliance with the Panorama Club CORPORATE Terms and Conditions and to identify any possible fraud.
7.2. On UIA request to verification the eligibility of miles accumulation and redemption transactions on a Corporate account, Company’s Administrator must provide for UIA inspection at a reasonable time documents, confirming Company-members compliance with the Panorama Club CORPORATE Terms and Conditions. Company-members refusal to provide documents is a basis for suspension or termination of the membership in the Panorama Club CORPORATE.
7.3. If any inconsistencies and/or violations of the Panorama Club CORPORATE Terms and Conditions are detected during inspection, UIA reserves the right unilaterally to suspend or terminate Company’s membership in the Panorama Club CORPORATE.
7.4. UIA reserves the right to terminate Company’s membership in the Panorama Club CORPORATE, cancel all previously accrued on Corporate account miles and to demand compensation for the rewards used by the Company-member in case of detection that the Company-member, Company’s Administrator or any other person received any benefits violate Panorama Club CORPORATE Terms and Conditions, including, but not limited with fraud reward issuing or sale or any other abuse.
8. LIABILITY LIMITATION AND LEGISLATION APPLIED
8.1. UIA is not responsible to the Company-member, Company’s Administrator or any other person for any loss or damage, direct or indirect:
8.1.1. due to the Panorama Club CORPORATE termination;
8.1.2. due to the Panorama Club CORPORATE Terms and Conditions changes;
8.1.3. due to unauthorized access of third parties to the Corporate account through Company-members violation of confidentiality of Corporate account number and password.
8.2. UIA is not liable for unauthorized enrollment and/ or use of the Panorama Club CORPORATE and/or fraud acts committed by the Company Administrator. If any violations arise Company-member must immediately contact UIA to prevent undue use of Corporate account. Company-member is liable for any loss or damage, direct or indirect inflicted UIA resulted of any possible misuse of Corporate account.
8.3. Panorama Club CORPORATE activity is subject to Ukrainian law. All disputes should be considered through bilateral negotiations or in the court at the place of UIA registration.
