PANORAMA CLUB CORPORATE
PROGRAM TERMS AND CONDITIONS

(valid till 26.12.2016)

Panorama Club CORPORATE (hereinafter - Program) is the loyalty program for Ukraine International Airlines (hereinafter - UIA) corporate clients. The Program’s activities are regulated by the Program’s Terms and Conditions.

1. GENERAL TERMS AND DEFINITIONS

1.1. Company-member is an economic entity (legal entity, including business associations, private entrepreneur), a separate division of the legal entity (branch office), who is the Program’s member. Companies acting as intermediaries and/or consolidators of ticket sales, including travel agencies, cannot be registered as a Company-member.

1.2. Company’s Administrator is the responsible person appointed by the Company-member with the purpose of registration in the Program and subsequent management of Company’s Corporate account with the full access level (balance check, awards issuance, membership termination, etc.). Company-member authorizes the Company’s Administrator for all the necessary actions according to the Program’s Terms and Conditions and the "UIA passengers and baggage air transportation rules and regulations" and takes full responsibility for Company’s Administrator activities within the Program. Company’s Administrator is the only contact person of the Company-member communicating with UIA regarding Company’s membership issues.

1.3. Company’s Corporate account (hereinafter - Corporate account) is Company-member’s account in the Program’s software, used by the Company-member for earning miles and issuing awards according to the Program’s Terms and Conditions. Corporate account number is used to identify the Company-member and to control the statistics of the tickets issuance by the Company-member on UIA own regular scheduled flights and UIA code-share flights (marketing seat quota on Partner Airlines flights, under PS code).

1.4.   UIA reserves the right to refuse the membership in the Program, change (in full or partly) or suspend the Program at any time. Changes may apply to the Program’s Terms and Conditions, membership conditions, conditions and the number of miles required for awards, miles validity etc.

 

2. MEMBERSHIP CONDITIONS 

2.1. Program member may be an economic entity (legal entity, including business associations, private entrepreneur), a separate division of the legal entity (branch office) in any country whose legislation does not forbid participation in loyalty programs.

2.2. To register in the Program Company’s Administrator should complete an Application for enrollment in the Program, posted electronically on the UIA’s website in the section «Panorama Club CORPORATE».

2.3. Completing an Application for enrollment in the Program by the Company’s Administrator includes- the following:

2.3.1. Company’s Administrator has the authority to complete and transfer an Application for enrollment and for further management of the Corporate account with the full access level.

2.3.2. Full preliminary review and Company’s Administrator’s and Company-member’s consent to the Program’s Terms and Conditions.

2.3.3. Company’s Administrator by authorization on behalf and in the interest of the Company provide UIA with individual personal data and Company’s data (including individual personal information: name, surname, date of birth, gender, communication data; company registration details: company name, company registration number, field of activity, address of registration and actual location, communication data, information about flights, information about bookings, purchase and issue of air tickets, etc.) and hereby authorize and give UIA  voluntary, unconditional and unlimited by duration consent to the processing, storage as well as to the disclosing and transferring individual personal data and/or Company’s data to the third parties, including cross-border transfer to the non-residents with the purpose of the Program implementation, for  UIA’s and its partners with which UIA has a contracts marketing activities, sending messages about UIA’s and its partners’ services, pricing and marketing offers or for other purposes determined with the  “UIA passengers and baggage  air transportation rules and regulations”, or for the implementation of other relations which require processing and / or opening  and/or transfer of personal data and/or Company’s data.

2.3.4. Company and Company’s Administrator do not demand any notice regarding the disclosing (transferring) to the third parties including non-residents, of individual personal data and/or Company’s data  with the purpose mentioned above including according to the Law of Ukraine "On Personal Data Protection".

2.3.5. Company-member does not act as an intermediary and/or consolidator of the ticket sales and is not a travel agency.

2.3.6. Company-member is registered in a country whose legislation does not forbid participation in loyalty programs.

2.3.7. The absence of prohibition of participation in loyalty programs in Company-member’s internal policy and provisions.

2.4. After receiving of Application for enrollment, UIA within 5 (five) working days makes a decision about the enrollment in the Program or refuse the enrollment and informs the Company’s Administrator by e-mail stated in the Application for the enrollment.

2.5. UIA reserves the right to refuse the membership, terminate or suspend further membership in the Program:

2.5.1. at the UIA’s  discretion regarding to the terms of the existing UIA’s  bilateral or multilateral agreements with the Company;

2.5.2. in case of granting to the Company special fares or discount on UIA flights;

2.5.3. at UIA’s discretion without any explanation;

2.5.4. in case of detection of the activity of the Company as an intermediary and/or a consolidator of the ticket sales or travel agency;

2.5.5.  in case of disagreement or violation by the Company-member Program’s  Terms and Conditions;

2.5.6. in case of evidence of illegal or fraudulent practices of the Company-member;

2.5.7. in case of the termination of the Program.

2.6. Company-member may terminate membership in the Program by sending to the UIA office (to the address: 201-203 Kharkivske rd., of. 109, Kyiv, 02121, Ukraine) an application in writing to cease membership. This application must contain a Corporate account number and Company-member’s name, date of membership termination, stamp and signature of the authorized person.

2.7. In case there is no movement on the Company-member’s account of more than 36 (thirty six) months, Program membership will be terminated.

2.8. Each Company-member may only have one Corporate account.

2.9. In case of the membership termination all miles accumulated by the Company-member on the corporate account are canceled.

2.10. Company-member must timely inform UIA on any change of Company-member registration data, as well as on change of Company’s Administrator (for example, in the case of his dismissal).

2.11. Enrollment and membership in the Program is free of charge.

 

3. CORPORATE ACCOUNT NUMBER AND PASSWORD

3.1. In case of the decision about Company-member’s enrollment, UIA makes the registration in accordance with the data provided in the Application for the enrollment and send the Company’s Administrator confirmation of the enrollment in the Program with the following information:

3.1.1. Corporate account number and terms of its usage.

3.1.2. Company-member’s personal identification password to access Corporate account page on UIA’s website.

3.1.3. Accrual scheme.

3.2. Company’s Administrator is solely responsible for privacy, confidentiality and preservation of the Corporate account’s number and Company-member’s password and impossibility to access these data unlawful third party. In case of a breach of confidentiality of the Corporate account’s number and Company-member’s password, Company-member is solely responsible for any actions with Corporate account, including, without limitation, any transactions on the account and violation of Program’s Terms and Conditions. In case of a breach of confidentiality of Corporate account’s number and Company-member’s password, Company-member must immediately contact UIA in order to prevent undue access to the Corporate account of third parties.

 

4. MILEAGE ACCRUAL IN THE PROGRAM

4.1. Mile is the unit of awards in the Program. All miles credited on the Corporate account are bonus miles.

4.2. Number of miles credited on the Corporate account is calculated on the basis of the flight segments cost (tariff part and fuel surcharge, not including airport taxes and other surcharges) purchased by the Company-member using Corporate account’s number and actually used in the reporting month. Total amount (tariff part and fuel surcharge) spent by the Company-member on actually used in the reporting month flight segments in US dollars is converted into the appropriate number of the bonus miles defined by the membership conditions of the Program.

4.3. Mileage accrual is made on the Corporate account automatically in case Corporate account’s number was indicated in appropriate field of the ticket by the agent when booking the ticket or indicated in the field “Corporate card number” when booking the ticket on UIA’s website. The possibility of retroactive mileage accrual for tickets booked and issued without indicating Corporate account numbers and/or with violation of the terms of its usage is missing.

4.4.   Miles are credited to the Corporate account monthly until 15th (fifteen) calendar day of the month following the reporting month.

4.5. In the case of the incorrect transactions on the Corporate account (wrong crediting/ redemption of miles, etc.), UIA reserves the right to make necessary changes.

4.6. Company-member can get information about flight segments, the amount of tariff and fuel charge on each flight segment purchased by the Company-member using the Corporate account number and actually used in the reporting month by sending an appropriate request from the Corporate account.

4.7. In case there are no enough miles on the Company-member’s account to issue an award, it is possible to purchase the determined amount of the bonus miles. The funds spent on the purchase of miles, will not be reimbursed.

4.8. Each Company-member has its own Corporate account to accrue Program’s miles. Miles from Corporate account of one Company-member cannot be transferred to the Corporate account of another Company-member.

4.9. Miles from different corporate accounts cannot be combined or transferred to any other loyalty program. Miles cannot be converted into cash equivalent.

 

5. AWARDS ISSUANCE

5.1. In case there are enough miles on the Corporate account to issue an award Company’s Administrator may order:

5.1.1. Award ticket for UIA or Partner Airlines -scheduled flight (Austrian Airlines, Swiss International, KLM, Air France, TAP Portugal, Etihad Airways).

5.1.2. Award upgrade on any UIA’s own regular scheduled flight.

5.1.3. Discount for miles on any UIA’s own regular scheduled flight (except for business class Kiev-Nice/Nice-Kiev flights), regular seat quota on UIA’s charter flights, code-share flights (marketing seat quota under PS flight code).

5.1.4. Dates or route changes for miles.

5.2. The number of miles required for an award corresponds to the standard mileage value applying in «Panorama Club» Program and published on the UIA website (www.flyUIA.com). Special offers and promotions for issuing awards available to Individual members do not apply to «Panorama Club CORPORATE» members.

5.3.  To issue an award upgrade Company’s Administrator should complete an Award ticket request form in the Corporate account on UIA website providing full details of the planned flight not less than 12 (twelve) hours prior to departure.

5.4. To get discount for miles or dates/route changed for miles Company-member should complete Service award request form in the Company-member’s Corporate account on UIA’s website providing full details of the planned flight.

5.5. Award ticket with open date is not allowed.

5.6. Award ticket is valid within 1 (one) year from the date of issuance.

5.7. Booking on commercial fare cannot be transformed into award booking. UIA is entitled to refuse issue an award ticket in case Company-member has booked the commercial ticket on the same dates and route without indicating clearly that it should be an award booking.

5.8. After award ticket is issued flight’s date or route can be changed (UIA’s own regular scheduled flights only, within one Award Zone):

  • When travelling in economy class – with USD 40 penalty;
  • When travelling in business class – without penalty.

5.9. Until an award ticket is issued all changes in the booking or booking cancellation are free of charge.

5.10. In case the booking was not cancelled and in case of no show USD 40 penalty is applied.

5.11. Miles for unused award ticket are refunded to the Company-member’s account with USD 40 penalty. Miles for partly used award ticket are not refunded.

5.12. Company-member pays all required taxes and fees applied when issuing an award ticket or award upgrade.

5.13. Award upgrades issuance is possible on UIA’s own regular scheduled flights only and in own UIA’s offices (cash-decks) only. When traveling with upgrades, the number of miles earned depends on the actual fare paid. Award upgrade is not possible in booking classes T, U, X.

5.14. Miles accrued on Corporate account may be exchanged for ticket discount. Discount is applied to the fare only and does not apply to the airport and other taxes. Discount issued for miles is not combined with other discounts (corporate, child, etc.).

5.15. Some restrictions for awards may appear depending on date, season and destination and under certain circumstances awards may not be available. Members should provide alternate travel dates when ordering an award.

5.16. Awards are booked and issued via UIA Contact center, UIA own sales offices (cash-decks) both in Ukraine and abroad only according to the request directed by the Company's Administrator from the Corporate account on the UIA website.

5.17. UIA reserves the right to change the awards ordering conditions, number of miles required for an award and the list of awards available, as the UIA informs Company-member through the UIA website no later than 5 (five) working days prior to the entry into force of such changes.

 

6. AWARDS TRANSFER

6.1. Company-member may order an award for any other person on his own discretion. Miles accrued on the Corporate account and awards issued may not be transferred to any other person. To transfer an award to any other person Company-member in the Corporate account on UIA website should:

6.1.1. In the section Award Transfer submit first name, last name (in Latin letters as written in the foreign passport) and the date of birth of the passenger/passengers for whom an award from Corporate account will be issued.

6.1.2. Complete an application for the award in the section Award ticket request or Service award request.

6.2. All outlined Program’s Terms and Conditions are also applied to the individuals to whom award is transferred. Company-member must familiarize the person to whom an award is transferred with the Program’s Terms and Conditions. UIA is not responsible for the improper use of awards.

 

7. INSPECTIONS

7.1. UIA reserves the right to inspect validity and eligibility of a Company-member membership in the Program at any time without prior notice. Inspections are intended to provide UIA with the guarantees of the Company-member’s compliance with the Program’s Terms and Conditions and to identify any possible fraud.

7.2. On UIA’s request, with the aim of verification the eligibility of miles accumulation and redemption transactions on a Corporate account, the Company’s Administrator must provide for UIA’s inspection at a reasonable time documents, confirming Company-member’s compliance with the Program’s Terms and Conditions. Company-member's refusal to provide documents automatically lead to suspension or termination of the membership in the Program.

7.3. In case of any inconsistencies and/or violations of the Program’s Terms and Conditions are detected during inspection, UIA reserves the right unilaterally to suspend or terminate Company-member’s participation in the Program.

7.4. UIA reserves the right to terminate Company-member’s participation in the Program, cancel all previously accrued on Corporate account miles and to demand compensation for the awards used by the Members in case of detection that the Company-members, Company’s Administrator or any other person received any benefits from the Program purposely doing any illegal action or violate Program’s Terms and Conditions, including, but not limited with fraud award issuing or sale or any other abuse.

 

8. LIABILITY LIMITATION AND LEGISLATION APPLIED

8.1. UIA is not responsible to the Company -member, Company’s Administrator or any other person for any loss or damage, direct or indirect:

8.1.1. due to the Program termination;

8.1.2. due to the Program’s Terms and Conditions changes;

8.1.3. due to unauthorized access of third parties to the Corporate account through Company-member’s violation of confidentiality of Corporate account’s number and Company-member’s password.

8.2. UIA is not liable for unauthorized enrollment and/ or use of the Program and/or fraud acts committed by the Company’s Administrator. Should any violations arise Company-member must immediately contact UIA to prevent undue use of Corporate account. Company-member is liable for any loss or damage, direct or indirect resulted of any possible misuse of Corporate account.

8.3. The Program acts according to the requirements of the Laws of Ukraine. Any dispute regarding the Program activities deals through bilateral negotiations or in court at the place of UIA’s registration (Economic Court of Kyiv).
